MEMBER ACCOUNT, PASSWORD, AND SECURITY
If any of the Services requires you to open an account, you must complete the registration process by providing us with current, complete and accurate information as prompted by the applicable registration form. You also will choose a password and a user name. You are entirely responsible for maintaining the confidentiality of your password and account. Furthermore, you are entirely responsible for any and all activities that occur under your account. You agree to notify The Business Place immediately of any unauthorized use of your account or any other breach of security. The Business Place will not be liable for any loss that you may incur as a result of someone else using your password or account, either with or without your knowledge. However, you could be held liable for losses incurred by The Business Place or another party due to someone else using your account or password. You may not use anyone else's account at any time, without the permission of the account holder.
Code of Conduct
You agree to use the Service in accordance with the following Code of Conduct:
- you will keep all information provided to you through the Service as private and confidential and will not give such information to anyone without the permission of the person who provided it to you;
- you will not use the Service to engage in any form of harassment or offensive behavior, including but not limited to the posting of communications or pictures which contain libelous, slanderous, abusive or defamatory statements, or racist, pornographic, obscene, or offensive language or images;
- you will not use the Service to infringe the privacy rights, property rights, or any other rights of any person;

Fees and Payments
The Business Place Ltd requires payment for services by credit card or PayPal unless otherwise agreed in advance. All fees are payable in United States Dollars. You may also have to pay any applicable local taxes.
- You can end your subscription or advertising online by using the My Business Place account management option or email our customer services team. No pro-rated refunds are available. To avoid being charged monthly subscriptions or advertising fees, The Business Place LTD must receive your cancellation notice before the first day of the month or one week in advance of the expiry of your advertising;
- All fees with the exception of processing fees for directory advertising fees which were paid but not approved by The Business Place LTD, are non-refundable and non-transferable. The listing and any advertising by subscribers and advertisers who cancel their membership, or whose credit cards expire without first providing another card for us to bill, may be removed;
- Please ensure that your payment card details are kept up to date. If we are unable to process payment from your card, we regret that it will be necessary to suspend your subscription and advertisement(s) until you provide us with details of a valid payment card. You can do this by contacting customer services or updating your card details on the My Business Place account management pages. You will still be liable for any outstanding payments that could not be met when your account was suspended.
Privacy and Use of Information
By using the services you have also agreed to our Privacy Statement. You acknowledge that (a) we cannot ensure the security or privacy of information you provide through the Internet and your email messages, and you release us from any and all liability in connection with the use of such information by other parties; (b) we are not responsible for, and cannot control, the use by others of any information which you provide to them and you should use caution in selecting the personal information you provide to others through the Service; and (c) we cannot assume any responsibility for the content of messages sent by other users of the Service, and you release us from any and all liability in connection with the contents of any communications you may receive from other users. We cannot guarantee, and assume no responsibility for verifying, the accuracy of the information provided by other users of the Service.

You shall remain solely responsible for the content of profiles and messages and other materials you may upload to the Service or users of the Service.
Termination of Access to Service
We may, in our sole discretion, terminate or suspend your access to all or part of the Service at any time, with or without notice, for any reason, including, without limitation, breach of this Agreement. Without limiting the generality of the foregoing, any fraudulent, abusive, or otherwise illegal activity, or that may otherwise affect the enjoyment of the Service or the Internet by others may be grounds for termination of your access to all or part of the Service at our sole discretion, and you may be referred to appropriate law enforcement agencies.
You acknowledge that we are not responsible for suspension of the Service, regardless of the cause of the interruption or suspension. Any claim against us shall be limited to the amount you paid, if any, for use of the Service during the previous 12 months. We may discontinue or change the Service or its availability to you at any time, and you may stop using the Service at any time.
Your account is private and should not be used by anyone else. You are responsible for all usage or activity on the Service by users using your password, including but not limited to use of your password by any third party.
NO UNLAWFUL OR PROHIBITED USE
As a condition of your use of the Services, you will not use the Services for any purpose that is unlawful or prohibited by these terms, conditions, and notices. You may not use the Services in any manner that could damage, disable, overburden, or impair any The Business Place server, or the network(s) connected to any The Business Place server, or interfere with any other party's use and enjoyment of any Services. You may not attempt to gain unauthorized access to any Services, other accounts, computer systems or networks connected to any The Business Place server or to any of the Services, through hacking, password mining or any other means. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available through the Services.

The Business Place reserves the right at all times to disclose any information as The Business Place deems necessary to satisfy any applicable law, regulation, legal process or governmental request, or to edit, refuse to post or to remove any information or materials, in whole or in part, in The Business Place's sole discretion.
Always use caution when giving out any personally identifiable information about yourself in any Communication Services. The Business Place does not control or endorse the content, messages or information found in any Communication Services and, therefore, The Business Place specifically disclaims any liability with regard to the Communication Services and any actions resulting from your participation in any Communication Services.

UNSOLICITED IDEA SUBMISSION POLICY
The Business Place or any of its employees do not accept or consider unsolicited ideas, including ideas for new advertising campaigns, new promotions, new products or technologies, processes, materials, marketing plans or new product names. please do not send any original creative artwork, samples, demos, or other works. the sole purpose of this policy is to avoid potential misunderstandings or disputes when The Business Placeâ€™s products or marketing strategies might seem similar to ideas submitted to The Business Place. so, please do not send your unsolicited ideas to The Business Place or anyone at The Business Place. if, despite our request that you not send us your ideas and materials, you still send them, please understand that The Business Place makes no assurances that your ideas and materials will be treated as confidential or proprietary.
A Recurring Payment is a payment in which you provide an advance authorisation to a third party merchant to charge your PayPal account directly on a one-time, regular, or sporadic basis. Recurring Payments are sometimes called “Subscriptions”, “Automatic Payments” or “Preapproved Payments”. If your third party initiated payment requires a currency conversion by us, the amount of the currency conversion fee will be determined at the time the applicable third party processes your payment and completes the transaction. You acknowledge that the exchange rate determined at the time of each payment transaction will differ and you agree to the future execution of third party initiated payments being based on fluctuating exchange rates. Third parties who present us with a payment request under this provision, warrant to PayPal that the amounts they present have been agreed and consented to by the User whose Account will be deducted (including changes to those amounts). Third parties who present us with a payment request under this provision also agree that they will notify their customers at in advance of the amount they will collect if that amount has increased in such a manner that the customer could not have reasonably expected to pay such an amount, taking into account that customer’s previous spending patterns and the circumstances of the payment.
When you establish a Recurring Payment with a merchant, you are also entering into a Billing Agreement with PayPal. By entering into a Billing Agreement you are authorizing PayPal to allow the Merchant to charge your PayPal account directly. PayPal facilitates the transaction between you and the Merchant, but does not enforce contractual obligations for payment by you or for delivery of goods or services by the Merchant.
FUNDING SOURCES SELECTION
When the Merchant requests a payment from your PayPal account, PayPal will always attempt to withdraw funds from your PayPal balance first. If funds in your balance are insufficient, PayPal will look for and attempt to charge a preferred funding source that you have set up for the Recurring Payment. You will have the option to select a preferred funding source during enrolment, and you can update or change your preferred funding Source at any time via the Account Profile section on the PayPal website.
If the preferred funding source fails (for example, a credit or debit card expires), then PayPal will use other available funding sources within your PayPal account. You will have the ability to disable funding sources for your Recurring Payment, with the exception that if you have one or more credit or debit cards linked to your PayPal account, then at least one of those cards must be enabled for billing.
CANCELLING RECURRING PAYMENTS
You may cancel a Recurring Payment at any time up to 3 working days prior to the date the payment is scheduled to take place. If your payment is funded by your bank account, then you may cancel this payment following notice of the payment to be made by contacting PayPal customer support via email or telephone. To cancel a Recurring Payment generally, log into your account, access the "My Account" tab, then access the "Profile" tab, the access the "Financial Information" column and click on "Billing Agreements" and follow the instructions to cancel the payment. If your Recurring Payment is not in this column, then access the "History" tab instead of the "Profile" tab and access "Subscriptions" and follow the directions to cancel the payment. Recurring Payments are sometimes referred to as "subscriptions" or "preapproved payments". If you cancel a Recurring Payment you may still be liable to the merchant for the payment and be required to pay the merchant through alternative means.
