Allegiance Capital Limited Partnership is a private mezzanine venture capital fund, which invests in the subordinated debt and equity of privately held companies. The structure of the partnership is that of a debenture Small Business Investment Company. As a Federally licensed SBIC, Allegiance is able to obtain capital through the U.S. Government to leverage its private capital. With the leverage and its private capital, Allegiance has in excess of $45 million to invest. Allegiance Capital seeks to invest in businesses which possess long-term positive trends and sustainable competitive advantages. They typically look for companies with at least 2-3 years of operating history, which are at or near breakeven cash flow. On occasion, they will also consider earlier stage transactions on an opportunistic basis, if the management team and competitive advantages offer compelling reasons to do so.
